第一章  总则

    第一条 为了确认公司的企业法人资格,规范公司登记行为,依据《中华人民共和国公司法》(以下简称《公司法》),制定本条例。

    第二条 有限责任公司和股份有限公司(以下统称公司)设立、变更、终止,应当依照本条例办理公司登记。

    第三条 公司经公司登记机关依法核准登记,领取《企业法人营业执照》,方取得企业法人资格。

    自本条例施行之日起设立公司,未经公司登记机关核准登记的,不得以公司名义从事经营活动。

    第四条 工商行政管理机关是公司登记机关。

    下级公司登记机关在上级公司登记机关的领导下开展公司登记工作。

    公司登记机关依法履行职责,不受非法干预。

    第五条 国家工商行政管理局主管全国的公司登记工作。

第二章  登记管辖

    第六条 国家工商行政管理局负责下列公司的登记:

    (一)国务院授权部门批准设立的股份有限公司;

    (二)国务院授权投资的公司;

    (三)国务院授权投资的机构或者部门单独投资或者共同投资设立的有限责任公司;

    (四)外商投资的有限责任公司;

    (五)依照法律的规定或者按照国务院的规定,应当由国家工商行政管理局登记的其他公司。

    第七条 省、自治区、直辖市工商行政管理局负责本辖区内下列公司的登记:

    (一)省、自治区、直辖市人民政府批准设立的股份有限公司;

    (二)省、自治区、直辖市人民政府授权投资的公司;

    (三)国务院授权投资的机构或者部门与其他出资人共同投资设立的有限责任公司;   

    (四)省、自治区、直辖市人民政府授权投资的机构或者部门单独或者共同投资设立的有限责任公司;

    (五)国家工商行政管理局委托登记的公司。

    第八条 市、县工商行政管理局负责本辖区内本条例第六条和第七条所列公司以外的其他公司的登记,具体登记管辖由省、自治区、直辖市工商行政管理局规定。

第三章  登记事项

    第九条 公司的登记事项包括:名称、住所、法定代表人、注册资本、企业类型、经营范围、营业期限、有限责任公司股东或者股份有限公司发起人的姓名或者名称。

    第十条 公司的登记事项应当符合法律、行政法规的规定。不符合法律、行政法规规定的,公司登记机关不予登记。

    第十一条 公司名称应当符合国家有关规定。公司只能使用一个名称。经公司登记机关核准登记的公司名称受法律保护。

    第十二条 公司的住所是公司主要办事机构所在地。经公司登记机关登记的公司的住所只能有一个。公司的住所应当在其公司登记机关辖区内。

    第十三条 公司的注册资本应当以人民币表示,法律、行政法规另有规定的除外。

第四章  设立登记

    第十四条 设立公司应当申请名称预先核准。

    法律、行政法规规定设立公司必须报经审批或者公司经营范围中有法律、行政法规规定必须报经审批的项目的,应当在报送审批前办理公司名称预先核准,并以公司登记机关核准的公司名称报送审批。

    第十五条 设立有限责任公司,应当由全体股东指定的代表或者共同委托的代理人向公司登记机关申请名称预先核准;设立股份有限公司,应当由全体发起人指定的代表或者共同委托的代理人向公司登记机关申请名称预先核准。

    申请名称预先核准,应当提交下列文件:

    (一)有限责任公司的全体股东或者股份有限公司的全体发起人签署的公司名称预先核准申请书;

    (二)股东或者发起人的法人资格证明或者自然人的身份证明;

    (三)公司登记机关要求提交的其他文件。

    公司登记机关应当自收到前款所列文件之日起10日内作出核准或者驳回的决定。公司登记机关决定核准的,应当发给《企业名称预先核准通知书》。

    第十六条 预先核准的公司名称保留期为6个月。预先核准的公司名称在保留期内,不得用于从事经营活动,不得转让。

    第十七条 设立有限责任公司,应当由全体股东指定的代表或者共同委托的代理人向公司登记机关申请设立登记。设立国有独资公司,应当由国家授权投资的机构或者国家授权的部门作为申请人,申请设立登记。法律、行政法规规定设立有限责任公司必须报经审批的,应当自批准之日起90日内向公司登记机关申请设立登记;逾期申请设立登记的,申请人应当报审批机关确认原批准文件的效力或者另行报批。

    申请设立有限责任公司,应当向公司登记机关提交下列文件:

    (一)公司董事长签署的设立登记申请书;

    (二)全体股东指定代表或者共同委托代理人的证明;

    (三)公司章程;

    (四)具有法定资格的验资机构出具的验资证明;

    (五)股东的法人资格证明或者自然人身份证明;

    (六)载明公司董事、监事、经理的姓名、住所的文件以及有关委派、选举或者聘用的证明;

    (七)公司法定代表人任职文件和身份证明;

    (八)企业名称预先核准通知书;

    (九)公司住所证明。

    法律、行政法规规定设立有限责任公司必须报经审批的,还应当提交有关的批准文件。

    第十八条 设立股份有限公司,董事会应当于创立大会结束后30日内向公司登记机关申请设立登记。

    申请设立股份有限公司,应当向公司登记机关提交下列文件:

    (一)公司董事长签署的设立登记申请书;

    (二)国务院授权部门或者省、自治区、直辖市人民政府的批准文件,募集设立的股份有限公司还应当提交国务院证券管理部门的批准文件;

    (三)创立大会的会议记录;

    (四)公司章程;

    (五)筹办公司的财务审计报告;

    (六)具有法定资格的验资机构出具的验资证明;

    (七)发起人的法人资格证明或者自然人身份证明;

    (八)载明公司董事、监事、经理姓名、住所的文件以及有关委派、选举或者聘用的证明;

    (九)公司法定代表人任职文件和身份证明;

    (十)企业名称预先核准通知书;

    (十一)公司住所证明。

    第十九条 公司申请登记的经营范围中有法律、行政法规规定必须报经审批的项目的,应当在申请登记前报经国家有关部门审批,并向公司登记机关提交批准文件。

    第二十条 公司章程有违反法律、行政法规的内容的,公司登记机关有权要求公司作相应修改。

    第二十一条 公司住所证明是指能够证明公司对其住所享有使用权的文件。

    第二十二条 经公司登记机关核准设立登记并发给《企业法人营业执照》,公司即告成立。公司凭公司登记机关核发的《企业法人营业执照》刻制印章,开立银行帐户,申请纳税登记。

第五章  变更登记

    第二十三条 公司变更登记事项,应当向原公司登记机关申请变更登记。

    未经核准变更登记,公司不得擅自改变登记事项。

    第二十四条 公司申请变更登记,应当向公司登记机关提交下列文件:

    (一)公司法定代表人签署的变更登记申请书;

    (二)依照《公司法》作出的变更决议或者决定;

    (三)公司登记机关要求提交的其他文件。

    公司变更登记事项涉及修改公司章程的,应当提交修改后的公司章程或者公司章程修正案。

    第二十五条 公司变更名称的,应当自变更决议或者决定作出之日起30日内申请变更登记。

    第二十六条 公司变更住所的,应当在迁入新住所前申请变更登记,并提交新住所使用证明。

    公司变更住所跨公司登记机关辖区的,应当在迁入新住所前向迁入地公司登记机关申请变更登记;迁入地公司登记机关受理的,由原公司登记机关将公司登记档案移送迁入地公司登记机关。

    第二十七条 公司变更法定代表人的,应当自变更决议或者决定作出之日起30日内申请变更登记。

    第二十八条 公司变更注册资本的,应当提交具有法定资格的验资机构出具的验资证明。

    公司增加注册资本的,应当自股款缴足之日起30日内申请变更登记。股份有限公司增加注册资本的,应当提交国务院授权部门或者省、自治区、直辖市人民政府的批准文件;以募集方式增加注册资本的,还应当提交国务院证券管理部门的批准文件。

    公司减少注册资本的,应当自减少注册资本决议或者决定作出之日起90日后申请变更登记,并应当提交公司在报纸上登载公司减少注册资本公告至少三次的有关证明和公司债务清偿或者债务担保情况的说明。

    第二十九条 公司变更经营范围的,应当自变更决议或者决定作出之日起30日内申请变更登记;变更经营范围涉及法律、行政法规规定必须报经审批的项目的,应当自国家有关部门批准之日起30日内申请变更登记。

    第三十条 公司变更类型的,应当按照拟变更的公司类型的设立条件,在规定的期限内向公司登记机关申请变更登记,并提交有关文件。

    第三十一条 有限责任公司变更股东的,应当自股东发生变动之日起30日内申请变更登记,并应当提交新股东的法人资格证明或者自然人的身份证明。

    有限责任公司的股东或者股份有限公司的发起人改变姓名或者名称的,应当自改变姓名或者名称之日起30日内申请变更登记。

    第三十二条 公司章程修改未涉及登记事项的,公司应当将修改后的公司章程或者公司章程修正案送原公司登记机关备案。

    第三十三条 公司董事、监事、经理发生变动的,应当向原公司登记机关备案。

    第三十四条 因合并、分立而存续的公司,其登记事项发生变化的,应当申请变更登记;因合并、分立而解散的公司,应当申请注销登记;因合并、分立而新设立的公司,应当申请设立登记。

    公司合并、分立的,应当自合并、分立决议或者决定作出之日起90日后申请登记,提交合并协议和合并、分立决议或者决定以及公司在报纸上登载公司合并、分立公告至少三次的证明和债务清偿或者债务担保情况的说明。股份有限公司合并、分立的,还应当提交国务院授权部门或者省、自治区、直辖市人民政府的批准文件。

    第三十五条 变更登记事项涉及《企业法人营业执照》载明事项的,公司登记机关应当换发营业执照。

第六章  注销登记

    第三十六条 有下列情形之一的,公司清算组织应当自公司清算结束之日起30日内向原公司登记机关申请注销登记:

    (一)公司被依法宣告破产;

    (二)公司章程规定的营业期限届满或者公司章程规定的其他解散事由出现;

    (三)股东会决议解散;

    (四)公司因合并、分立解散;

    (五)公司被依法责令关闭。

    第三十七条 公司申请注销登记,应当提交下列文件:

    (一)公司清算组织负责人签署的注销登记申请书;

    (二)法院破产裁定、公司依照《公司法》作出的决议或者决定、行政机关责令关闭的文件;

    (三)股东会或者有关机关确认的清算报告;

    (四)《企业法人营业执照》;

    (五)法律、行政法规规定应当提交的其他文件。

    第三十八条 经公司登记机关核准注销登记,公司终止。

第七章 分公司的登记

    第三十九条 分公司是指公司在其住所以外设立的从事经营活动的机构。分公司不具有企业法人资格。

    第四十条 公司设立分公司的,应当向分公司所在地的市、县公司登记机关申请登记;核准登记的,发给《营业执照》。

    第四十一条 分公司的登记事项包括:名称、营业场所、负责人、经营范围。

    分公司的名称应当符合国家有关规定。

    分公司的经营范围不得超出公司的经营范围。

    第四十二条 公司设立分公司的,应当自决定作出之日起30日内向公司登记机关申请登记;法律、行政法规规定必须报经有关部门审批的,应当自批准之日起30日内向公司登记机关申请登记。

    设立分公司,应当向公司登记机关提交下列文件:

    (一)公司法定代表人签署的设立分公司的登记申请书;

    (二)公司章程以及由公司的公司登记机关加盖印章的《企业法人营业执照》复印件;

    (三)营业场所使用证明;

    (四)公司登记机关要求提交的其他文件。

    第四十三条 分公司变更登记事项的,应当向公司登记机关申请变更登记。

    申请变更登记,应当提交公司法定代表人签署的变更登记申请书。因公司名称变更而变更分公司名称的,应当提交公司的《企业法人营业执照》复印件。变更经营范围涉及法律、行政法规规定必须报经审批的项目的,应当提交有关部门的批准文件。变更营业场所的,应当提交新的营业场所使用证明。

    公司登记机关核准变更登记的,换发《营业执照》。

    第四十四条 公司撤销分公司的,应当自撤销决定作出之日起30日内向该分公司的公司登记机关申请注销登记。申请注销登记应当提交公司法定代表人签署的注销登记申请书和分公司的《营业执照》。公司登记机关核准注销登记后,应当收缴分公司的《营业执照》。

第八章  登记程序

    第四十五条 公司登记机关收到申请人提交的符合本条例规定的全部文件后,发给《公司登记受理通知书》。

    公司登记机关自发出《公司登记受理通知书》之日起30日内,作出核准登记或者不予登记的决定。

    公司登记机关核准登记的,应当自核准登记之日起15日内通知申请人,发给、换发或者收缴《企业法人营业执照》或者《营业执照》。

    公司登记机关不予登记的,应当自作出决定之日起15日内通知申请人,发给《公司登记驳回通知书》。

    第四十六条 公司办理设立登记、变更登记,应当按照规定向公司登记机关缴纳登记费。

    领取《企业法人营业执照》的,设立登记费按注册资本总额的1‰缴纳;注册资本超过1000万元的,超过部分按0.5‰缴纳;注册资本超过1亿元的,超过部分不再缴纳。

    领取《营业执照》的,设立登记费为300元。

    变更登记事项的,变更登记费为100元。

    第四十七条 公司登记机关应当将核准登记的公司登记事项记载于公司登记簿上,供社会公众查阅、复制。查阅、复制公司登记事项,应当按照规定交纳查阅、复制费。

    第四十八条 股份有限公司应当在其设立、变更、注销登记被核准后的30日内发布设立、变更、注销登记公告,并应当自公告发布之日起30日内将发布的公告报送公司登记机关备案。公司发布的设立、变更、注销登记公告的内容应当与公司登记机关核准登记的内容一致;不一致的,公司登记机关有权要求公司更正。

    吊销《企业法人营业执照》和《营业执照》的公告由公司登记机关发布。

第九章  年度检验

    第四十九条 每年11日至430日,公司登记机关对公司进行年度检验。

    第五十条 公司应当按照公司登记机关的要求,在规定的时间内接受年度检验,并提交年度检验报告书、年度资产负债表和损益表、《企业法人营业执照》副本。

    设立分公司的公司在其提交的年度检验材料中,应当明确反映分公司的有关情况,并提交分公司《营业执照》的复印件。

    第五十一条 公司登记机关应当根据公司提交的年度检验材料,对与公司登记事项有关的情况进行审查,以确认其继续经营的资格。

   第五十二条 公司应当向公司登记机关缴纳年度检验费。年度检验费为50元。

第十章  证照和档案管理

    第五十三条 《企业法人营业执照》、《营业执照》分为正本和副本,正本和副本具有同等法律效力。

    《企业法人营业执照》正本或者《营业执照》正本应当置于公司住所或者分公司营业场所的醒目位置。

    公司可以根据业务需要向公司登记机关申请核发营业执照若干副本。

    第五十四条 任何单位和个人不得伪造、涂改、出租、出借、转让营业执照。

    营业执照遗失或者毁坏的,公司应当在公司登记机关指定的报刊上声明作废,申请补领。

    按照国家有关规定,公司向有关单位提交的营业执照复印件需要公司登记机关加盖印章的,公司登记机关可以在复印件上加盖印章。

    第五十五条 公司登记机关对需要认定的营业执照,可以临时扣留,扣留期限不得超过10天。

    第五十六条 借阅、抄录、携带、复制公司登记档案资料的,应当按照规定的权限和程序办理。

    任何单位和个人不得修改、涂抹、标注、损毁公司登记档案资料。

    第五十七条 营业执照正本、副本样式以及公司登记的有关重要文书格式或者表式,由国家工商行政管理局统一制定。

第十一章  法律责任

    第五十八条 办理公司登记时虚报注册资本,取得公司登记的,由公司登记机关责令改正,处以虚报注册资本金额5%以上10%以下的罚款;情节严重的,撤销公司登记,吊销营业执照。构成犯罪的,依法追究刑事责任。

    第五十九条 办理公司登记时提交虚假证明文件或者采取其他欺诈手段,取得公司登记的,由公司登记机关责令改正,处以1万元以上10万元以下的罚款;情节严重的,撤销公司登记,吊销营业执照。构成犯罪的,依法追究刑事责任。

    第六十条 公司的发起人、股东未交付货币、实物或者未转移财产权,虚假出资的,由公司登记机关责令改正,处以虚假出资金额5%以上10%以下的罚款。构成犯罪的,依法追究刑事责任。

    第六十一条 公司的发起人、股东在公司成立后,抽逃出资的,由公司登记机关责令改正,处以所抽逃出资金额5%以上10%以下的罚款。构成犯罪的,依法追究刑事责任。

    第六十二条 公司成立后无正当理由超过6个月未开业的,或者开业后自行停业连续6个月以上的,由公司登记机关吊销营业执照。

    第六十三条 公司变更登记事项,未按照规定办理有关变更登记的,由公司登记机关责令限期办理;逾期未办理的,处以1万元以上10万元以下的罚款。

    第六十四条 公司在合并、分立、减少注册资本或者进行清算时,不按照规定通告或者公告债权人的,由公司登记机关责令改正,处以1万元以上10万元以下的罚款。

    第六十五条 清算组织不按照规定向公司登记机关报送清算报告,或者报送清算报告隐瞒重要事实或者有重大遗漏的,由公司登记机关责令改正。

    第六十六条 公司破产、解散清算结束后,不申请办理注销登记的,由公司登记机关吊销营业执照。

    第六十七条 股份有限公司设立、变更、注销登记后,不在规定期限内发布公告或者发布的公告内容与公司登记机关核准登记的内容不一致的,由公司登记机关责令改正;拒不改正的,处以1万元以上10万元以下的罚款;情节严重的,吊销营业执照。

    第六十八条 公司不按照规定接受年度检验的,由公司登记机关处以1万元以上10万元以下的罚款,并限期接受年度检验;逾期仍不接受年度检验的,吊销营业执照。年度检验中隐瞒真实情况、弄虚作假的,由公司登记机关处以1万元以上5万元以下的罚款,并限期改正;情节严重的,吊销营业执照。

    第六十九条 伪造、涂改、出租、出借、转让营业执照的,由公司登记机关处以1万元以上10万元以下的罚款;情节严重的,吊销营业执照。构成犯罪的,依法追究刑事责任。

    第七十条 未将营业执照置于住所或者营业场所醒目位置的,由公司登记机关责令改正;拒不改正的,处以1000元以上5000元以下的罚款。

    第七十一条 公司超出核准登记的经营范围从事经营活动的,由公司登记机关责令改正,并可处以1万元以上10万元以下的罚款;情节严重的,吊销营业执照。

    第七十二条 未依法登记为有限责任公司或者股份有限公司,而冒用有限责任公司或者股份有限公司名义的,由公司登记机关责令改正或者予以取缔,并可处以1万元以上10万元以下的罚款。构成犯罪的,依法追究刑事责任。

    第七十三条 公司登记机关对不符合规定条件的公司登记申请予以登记,情节严重的,对直接负责的主管人员和其他直接责任人员依法给予行政处分。上级公司登记机关强令下级公司登记机关对不符合规定条件的公司登记申请予以登记,或者对违法登记进行包庇的,对直接负责的主管人员和其他直接责任人员依法给予行政处分。构成犯罪的,依法追究刑事责任。

第十二章  附则

    第七十四条 外国公司在中华人民共和国境内设立的分支机构的登记,按照国务院的有关规定办理。

    第七十五条 外商投资的有限责任公司的登记,适用本条例。有关外商投资企业的法律、行政法规对其登记另有规定的,适用其规定。

    第七十六条 本条例自199471日起施行。

    Chapter 1 General Provisions

Article 1

    These Regulations are formulated in accordance withthe Company Law of

the People's Republic of Chinahereinafter referred to as the Company

Lawin order toaffirm the qualifications of enterprise legal persons of

companies and standardize theregistration activities of companies.

Article 2

    The establishment, change and closing down of alllimited liability

companies and all companieslimited by shares hereinafter referred to as

the company shall conduct their company registrationin accordance with

these Regulations.

Article 3

    A company can only obtain the qualifications of anenterprise legal

person after having beenapproved to register by the company registration

authority as provided by law andhaving got a Business License of

Enterprise LegalPerson.

    A company, where it is established after the date ofcoming into

effect of these Regulations,shall not engage in business activities in

the name of a company withoutbeing approved to register by the company

registrationauthority.

Article 4

    The administration for industry and commerce is the company

registrationauthority.

    The company registration authority at a lower levelshall conduct

company registration under theleadership of the company registration

authority at a higherlevel.

    The company registration authority does its duty asprovided by law,

and does not accept any illegalintervention.

Article 5

    The State Administration Bureau for Industry andCommerce is

responsible for companyregistration of the whole country.

    Chapter 2 Jurisdiction of Registration

Article 6

    The State Administration Bureau for Industry andCommerce is

responsible for registrations ofthe following companies:

    1companieslimited by shares which are approved to establish by the

authorized department of theState Council;

    2companies withinvestment authorized by the State Council;

    3limitedliability companies in which the investment institution

sor department sauthorized by the State Council is the soleinvestor

or are the jointinvestors;

    4limitedliability companies with foreign investment;  and

    5other companiesthat should be registered by the State

Administration Bureau forIndustry and Commerce in accordance with the

provisions of law or of theState Council.

Article 7

    The administrations for industry and commerce at thelevel of a

province, autonomous region ormunicipality directly under the Central

Government are responsible forthe registration of the following companies

in areas under their respectivejurisdiction:

    1companieslimited by shares which are approved to establish by the

people's governments ofprovinces, autonomous regions or municipalities

directly under the CentralGovernment;

    2companies withinvestment authorized by the people's governments

of provinces, autonomous regionsor municipalities directly under the

Central Government;

    3limitedliability companies in which the investment institution

sor department sauthorized by the State Council and otherinvestors

are the joint capitalcontributors;

    4limitedliability companies in which the investment institution

sor department sauthorized by the people's government of aprovince,

autonomous region ormunicipality directly under the Central Government is

the sole investor or are thejoint investors; and

    5companies ofwhich the registration is entrusted by the State

Administration Bureau forIndustry and Commerce.

Article 8

    The administration for industry and commerce at thelevel of a

municipality or a county isresponsible for registration of the companies

in the area under its respectivejurisdiction other than those listed in

Article 6 and Article 7 of theseRegulations, and the concrete

jurisdiction of registrationshall be provided by the administration for

industry and commerce at thelevel of a province,  an autonomous region or

a municipality directly underthe Central Government.

    Chapter 3 Registered Items

Article 9

    The registered items of a company include: title,domicile, legal

representative, registeredcapital,  type of enterprise, business scope,

term of operation,  names ortitles of shareholders of a limited liability

company or of promoters of acompany limited by shares.

Article 10

    A company's registered items shall be in conformitywith provisions of

law and administrativeregulations. In case of unconformity, the company

registration authority shallrefuse to register.

Article 11

    A company's name shall be in conformity with therelevant provisions

of the State. A company can onlyhave one name. The company's name which

has been approved to register bythe company registration authority is

protected by law.

Article 12

    A company's domicile is the place where the company'sadministrative

body is located. A company canonly have one domicile which has been

registered by the companyregistration authority. The company's domicile

should be within thejurisdiction area of the company registration

authority.

Article 13

    Except that the law and administrative regulationsotherwise provide,

the registered capital of acompany should be expressed in Renminbi RMB.

    Chapter 4 Registration of Establishment

Article 14

    The establishment of a company shall,  uponapplication, be subject to

pre-approval of itsname.

    Where the establishment of a company must be submittedfor examination

and approval in accordance withlaw or administrative regulations or there

are items in the company'sbusiness scope that must be submitted for

examination and approval inaccordance with law or administrative

regulations, pre-approval of thecompany's name should be conducted before

submission for examination andapproval, and the examination and approval

shall be submitted for in thename which has been approved by the company

registrationauthority.

Article 15

    In establishing a limited liabilitycompany,  the name pre-approval

shall be applied for with thecompany registration authority by the

representative appointed by allthe shareholders or by the agent entrusted

jointly by all the shareholders.In establishing a company limited by

shares, the name pre-approvalshall be applied for with the company

registration authority by therepresentative appointed by all the

promoters or by the agententrusted jointly by all the promoters.

    To apply for name pre-approval, the followingdocuments shall be

submitted:

    1application forname pre-approval signed by all the shareholders

of the limited liability companyor by all the promoters of the company

limited by shares;

    2legal personqualification certificates of the shareholders or of

the promoters or identitycertificates of natural persons; and

    3other documentsrequired to be submitted by the company

registrationauthority.

    The company registration authorities shall make adecision of approval

or refusal within 10 days fromthe date of receipt of the documents listed

in the above section. Where thecompany registration authority decides to

approve,  it shallissue a Notification of Company's Name Pre-Approval.

Article 16

    The period of retention of a company's name aspre-approved is six

months. In the period ofretention, the company's name as pre-approved

shall not be used in businessactivities, nor shall it be assigned.

Article 17

    In establishing a limited liabilitycompany,  the registration of

establishment should be appliedfor with the company registration

authority by the representativeappointed by all the shareholders or by

the agent entrusted jointly byall the shareholders. In establishing a

wholly state-owned company, theregistration of establishment should be

applied for by thestate-authorized investment institution or the

state-authorized department.Where the establishment of a limited

liability company must besubmitted for examination and approval in

accordance with any law oradministrative regulations, the registration of

establishment should be appliedfor within 90 days from the date of

approval. Where the registrationof establishment is applied for beyond

the time limit, the applicantshould require the examination and approval

authority to confirm the effectof the original approval documents, or

submit for a separateapproval.

    To apply for establishing a limited liabilitycompany,  the following

documents should be submitted tothe company registration authority:

    1application forregistration of establishment signed by the

chairman of the board ofdirectors of the company;

    2certificate ofappointed representative or jointly entrusted agent

by all theshareholders;

    3the company'sarticles of association;

    4investmentverification certificates issued by a legally

authorized investmentverification authority;

    5legal personqualification certificates of the shareholders or

identity certificates of naturalpersons;

    6documentsindicating the names and residence of the company's

directors, supervisors andmanagers, and the certificates relating to

their appointments, elections orengagements;

    7documents oftenure of office and identity certificate of the

company's legalrepresentative;

    8theNotification of the Company's Name Pre-Approval;  and

    9domicilecertificate of the company.

    Where any law or administrative regulations requirethat the

establishment of a limitedliability company be subject to examination and

approval, the approval documentsconcerned shall also be submitted.

Article 18

    To establish a company limited by shares, the board ofdirectors

shall, within 30 days of theconclusion of the founding meeting, apply to

the company registrationauthority for registration of establishment.

    To apply for establishing a company limited by shares,the following

documents should be submitted tothe company registration authority:

    1application for registration of establishment signed by the

chairman of the board ofdirectors of the company;

    2approvaldocuments issued by the departments authorized by the

State Council or the people'sgovernment of a province, autonomous region

or municipality directly underthe Central Government; For a company

limited by shares which isestablished by the offer method; the approval

documents issued by thesecurities administration authorities of the State

Council shall also besubmitted;

    3minutes of the foundingmeeting;

    4the company'sarticles of association;

    5the auditors'sreport on financial matters relating to the

preparations for establishmentof the company;

    6investmentverification certificate issued by a legally authorized

investment verificationauthority;

    7legal personqualification certificates of the promoters or

identity certificates of naturalpersons;

    8documentsindicating the names and residences of the company's

directors, supervisors andmanagers, and the certificates relating to

their appointments, elections orengagements;

    9documents oftenure of office and identity certificate of the

company's legalrepresentative;

    10theNotification of the Company's Name Pre-Approval;  and

    11domicilecertificate of the company.

Article 19

    Where there are items in a company's business scopebeing applied for

registration that should besubmitted for examination and approval in

accordance with any law oradministrative regulations, examination and

approval should be obtained fromthe relevant state departments before

applying for registration, andthe approval documents should be submitted

to the company registrationauthority.

Article 20

    Where there exists content in the company's articlesof association

which is contrary to any law oradministrative regulations, the company

registration authority has thepower to require the company to make

relevant amendments.

Article 21

    The domicile certificate of a company refers to thedocument which can

prove that the company has theright to use its domicile.

Article 22

    A company is founded after the registration ofestablishment has been

approved and a Business Licenseof Enterprise Legal Person has been issued

by the company registrationauthority. Upon receipt of the Business

License of Enterprise LegalPerson issued by the company registration

authority, the company canengrave seals, open an account with a bank and

apply for registration of payingtaxes.

    Chapter 5 Registration of Changes

Article 23

    To change some registered items, a company shall applyfor

registration of modificationswith the original company registration

authority.

    Where the registration of change has not beenapproved,  the company

shall not presumptuously changeany of the registered items.

Article 24

    When applying for registration of changes, a companyshall submit the

following documents to thecompany registration authority:

    1an applicationfor registration of change signed by the company's

legal representative;

    2a changeresolution or decision made in accordance with the

Company Law; and

    3other documentsrequired to be submitted by the company

registrationauthority.

    Where a company's change of registered items relatesto amending the

company's articles ofassociation, the amended articles of association or

the amendment of the articles ofassociation shall be submitted.

Article 25

    A company which changes its name should apply forregistration of

change within 30 days from thedate of making the resolution or decision

on change.

Article 26

    A company, where it changes its domicile,  shouldapply for

registration of change before itmoves to the new domicile and submit the

certificate of using the newdomicile.

    Where the changed domicile goes beyond thejurisdiction area of the

company registration authority,the company shall apply for registration

of change with the companyregistration authority in the place to which

the company will move before itmoves to the new domicile. If the company

registration authority in theplace to which the company will move accepts

the application, the originalcompany registration authority shall

transfer the companyregistration files to the company registration

authority in the place to whichthe company will move.

Article 27

    A company which changes its legal representativeshould apply for

registration of change within 30days from the date of making the

resolution or decision ofmodification.

Article 28

    A company which changes its registered capital shallsubmit the

investment verificationcertificate issued by a legally authorized

investment verificationauthority.

    A company which increases its registered capital shallapply for

registration of change within 30days from the date of paying in full

share funds. A company limitedby shares which increases its registered

capital shall submit theapproval documents from the state-authorized

department or the people'sgovernment of a province, an autonomous region

or a municipality directly underthe Central Government; and if the

company increases its registeredcapital by the offer method, the approval

documents from the securitiesadministration authorities of the State

Council shall also besubmitted.

    A company which reduces its registered capital shallapply for

registration of change within 90days from the date of making the

resolution or decision ofreducing its registered capital, and shall

submit the relevant certificatesof the company's public notices of

reducing registered capitalcarried in a newspaper at least three times

and the company's illustrationof paying debt or of debt assurance.

Article 29

    A company which changes its business scope shall applyfor

registration of change within 30days from the date of making the

resolution or decision ofchange; Where the change of the business scope

relates to the items which mustbe submitted for examination and approval

in accordance with law oradministrative regulations, the registration of

change shall be applied forwithin 30 days from the date of approval from

the relevant Statedepartment.

Article 30

    A company which changes its form shall, in accordancewith the

establishment requirements ofthe company form of the company to which the

company intends to change, applyfor registration of change with the

company registration authorityin the fixed time limit and submit the

relevant documents.

Article 31

    A limited liability company which changes itsshareholders, should

apply for registration of changewithin 30 days from the date of change,

and should submit the legalperson qualification certificates of the new

shareholders or the identitycertificates of natural persons.

    Where a shareholder of a limited liability company ora promoter of a

company limited by shareschanges its name or title, the registration of

change shall be applied forwithin 30 days from the change of name or

title.

Article 32

    Where the amendment of a company's articles ofassociation does not

relate to the registered items,the company shall submit its amended

articles of association or itsamendment of articles of association to the

original company registrationauthority for record.

Article 33

   Where there is a change in the directors,  supervisors or manager of a

company, the company shallsubmit for record to the original company

registrationauthority.

Article 34

    A company which survives a merger or division, whereits registered

items change, shall apply forregistration of alternation; A company which

is dissolute due to a merger ordivision shall apply for cancellation of

registration; A new companywhich is established due to a merger or

division shall apply forregistration of establishment.

    A company which is merged or divided shall apply forregistration

within 90 days from the date ofmaking the resolution or decision of

merger or division, and shouldsubmit the merger agreement and resolution

or decision of merger ofdivision, the certificates of the company's

public notices of the merger ordivision carried in a newspaper at least

three times and the illustrationof paying debt or of debt assurance.

Where a company limited byshares is merged or divided, the approval

documents from the state-authorized department or from the people's

government of a province, anautonomous region or a municipality directly

under the Central Governmentshould also be submitted.

Article 35

    Where the change of registered items relates to theitems recorded on

the Business License ofEnterprise legal person, the company registration

authority shall issue a newbusiness license.

    Chapter 6 Registration of Cancellation

Article 36

    In any of the following circumstances,  theliquidation group shall,

within 30 days from the date ofcompleting the liquidation of a company,

apply for canceling thecompany's registration with the original company

registrationauthority:

    1the company isdeclared bankrupt as provided by law;

    2pursuant to theprovisions of the company's articles of

association, the term ofoperation of the company expires or one of the

other events which are groundsfor dissolution occurs;

    3a resolutionfor dissolution is passed by the shareholders'

meeting;

   4dissolution isnecessary due to a merger or division of the

company; and

    5the company isordered to close down in accordance with law;

Article 37

    When a company applies for canceling its registration,the following

documents shall besubmitted:

    1an applicationfor cancellation of registration signed by the

person in charge of thecompany's liquidation group;

    2an adjudicationof bankruptcy made by court, resolution or

decision made by the company inaccordance with the Company Law or

documents of ordering to closedown issued by an administrative organ;

    3liquidationreport confirmed by the shareholders' meeting or the

competent authority;

    4the BusinessLicense of Enterprise Legal Person; and

    5other documentsthat shall be submitted as provided by law or

administrativeregulations.

Article 38

    A company terminates after having been approved tocancel the

registration by the companyregistration authority.

    Chapter 7 Registration of Branch of aCompany

Article 39

    A branch refers to the institution engaged in businessactivities

which is set up by a company inanother domicile. No branch of a company

has the status of an enterpriselegal person.

Article 40

    A company which establishes a branch shall apply forregistration with

the company registrationauthority at the level of municipality or county

where the branch is located; Ifthe branch is approved to register, a

Business License will beissued.

Article 41

    The registered items of a branch include: the name,location of

business premises, person incharge and business scope.

    The name of a branch shall be in conformity with therelevant

provisions of thestate.

    The business scope of a branch shall not exceed thatof the company.

Article 42

    A company which establishes a branch shall, within 30days from the

date of making thedecision,  apply for registration with the company

registration authority; Wherethe establishment of a branch must be

submitted to the relevantdepartment for examination and approval as

provided by law oradministrative regulations, the registration shall,

within 30 days from the date ofapproval,  be applied for with the company

registrationauthority.

    To set up a branch, the following documents shall besubmitted to the

company registrationauthority:

    1an applicationfor registration of establishment of the branch

signed by the company's legalrepresentative;

    2the company'sarticles of association and a duplicate copy of the

Business License of EnterpriseLegal Person sealed with the seal of the

company registration authorityof the company;

    3a certificateof use of the business premises; and

    4other documentsrequired to be submitted by the company

registrationauthority.

Article 43

    Where a branch changes its registered items, theregistration of

alternation shall be applied forwith the company registration authority.

    In applying for registration of alternation, theapplication for

registration of change signed bythe company's legal representative shall

be submitted. Where the name ofa branch changes due to the change of the

name of the company, a duplicateof the company's Business License of

Enterprise Legal Person shall besubmitted. Where the changed business

scope relates to the items thatmust be submitted for examination and

approval as provided by law oradministrative regulations, the approval

documents from the relevantdepartment shall be submitted. Where a branch

changes its location of businesspremises, a certificate of use of the new

business premises shall besubmitted.

    The company registration authority issues a newBusiness License if it

approves the registration ofchange.

Article 44

    Where a company withdraws its branch, the cancellationof registration

shall, within 30 days from thedate of making the decision of withdrawal,

be applied for with the companyregistration authority of the branch. In

applying for cancellation ofregistration,  the application for

cancellation of registrationsigned by the company's legal representative

and the branch's BusinessLicense shall be submitted. After having

approved the cancellation ofregistration, the company registration

authority shall withdraw thebranch's Business License.

    Chapter 8 Procedure of Registration

Article 45

    After having received all the documents as submittedunder these

Regulations, the companyregistration authority will issue to the

applicant a Notification ofAcceptance of Company Registration.

    The company registration authority shall, within 30days from the date

of issuing the Notification ofAcceptance of Company Registration, make a

decision of approval or refusalto register.

    Where the company registration authority approves toregister, it

shall, within 15 days from thedate of approval to register, notify the

applicant and issue, change orwithdraw the Business License of Enterprise

Legal Person or the BusinessLicense.

    Where the company registration authority refuses toregister, it

shall, within 15 days from thedate of making the decision, notify the

applicant and issue aNotification of Refusal of Company Registration.

Article 46

    When a company conducts registration of establishmentor alternation,

it shall pay registration fee tothe company registration authority in

accordance with the relevantprovisions.

    When drawing a Business License of Enterprise LegalPerson, the fee of

establishment registration shallbe paid at one thousandth of the

registered capital; Where theregistered capital exceeds RMB ten million,

the fee for the exceeded partshall be paid at point five thousandth of

it; Where the registered capitalexceeds RMB one hundred million, the fee

for the exceeded part does notneed to be paid.

    When drawing a Business License, the fee ofestablishment registration

is RMB 300.

    When changing the registered items, the fee ofalternation

registration is RMB100.

Article 47

    The company registration authority shall record thecompany's

registered items that have beenapproved to register on the company

register for the public to lookup or duplicate. In looking up or

duplicating the company'sregistered items, the fee of looking up or of

duplicating shall be paidaccording to the relevant provisions.

Article 48

    A company limited by shares shall,  within 30days from the date of

approval of registration of itsestablishment, alternation or

cancellation, issue anannouncement of registration of establishment,

alternation or cancellation, andshall, within 30 days from the date of

issuing the announcement, submitthe announcement as issued to the company

registration authority forrecord. The content of the announcement of

registration ofestablishment,  alternation or cancellation issued by the

company shall be in conformitywith that of registration approved by the

company registration authority;In case of non-conformity, the company

registration authority has thepower to require the company to modify.

    The announcement of revoking the Business License ofEnterprise Legal

Person and the Business Licenseis issued by the company registration

authority.

    Chapter 9 Annual Examination

Article 49

    In every year from January 1 through April 30, thecompany

registration authority conductsannual examination of companies.

Article 50

    According to the requirements of the companyregistration authority, a

company shall accept the annualexamination within the fixed time, and

submit an annual examinationreport, an annual balance sheet, a profit and

loss statement and a copy of theBusiness License of Enterprise Legal

Person.

    In the documents of annual examination submitted by acompany which

has set up a branch or branches,the relevant situations of the branchs

shall be clearlyreflected,  and a duplicate of the branch's Business

License shall besubmitted.

Article 51

    The company registration authority shall, according tothe documents

of annual examination submittedby a company, examine the situations

relating to the company'sregistered items so as to confirm its

qualification of continuousoperation.

Article 52

    A company shall pay the annual examination fee to thecompany

registration authority. And theannual examination fee is RMB 50 yuan.

    Chapter 10 Administration of Certificates, Licensesand Files

Article 53

    The Business License of Enterprise Legal Person andthe Business

License as divided intooriginals and duplicates which have the equal

legal effect.

    The original of the Business License of EnterpriseLegal Person or of

the Business License should belaid up in an eye-catching place of the

company's domicile or of thebusiness premises of the branch.

    The company may, according to the needs ofoperation,  apply to the

company registration authorityfor duplicates of its business license.

Article 54

    No unit and individual shall forge, alter,  let out,lend or assign

the business license.

    If the Business License is lost or damaged, thecompany shall announce

it invalid in the newspaper andperiodical designated by the company

registrationauthority,  and shall apply for an reassurance.

    According to the relevant provisions of state, wherethe copy of the

Business License submitted bythe company to relevant unitsneeds to be

sealed by the companyregistration authority, it can seal on the said

copy.

Article 55

    The companyregistration authority may temporarily distrain the

business license which needsconfirmation,  and the time limit of

distrainment shall not exceed 10days.

Article 56

    Borrowing and reading, copying, carrying andduplicating the documents

of company registration filesshall be conducted in accordance with the

limits of authority andprocedure as prescribed by law.

    No unit and individual shall revise, daub, mark orbreak down the

documents of companyregistration files.

Article 57

    The forms of the original and duplicate of thebusiness license and

the forms and the tables ofimportant official documents concerning

company registration areformulated unitarily by the State Administration

Bureau for Industry andCommerce.

    Chapter 11 Legal Liabilities

Article 58

    A company which, when registering,  falselyreports its registered

capital and has obtainedregistration of company shall be ordered to

remedy the situation and finedat least five per cent and no more than ten

per cent of the amount of theregistered capital falsely reported by the

company registration authority.If the case is serious, the company's

registration shall be canceledand the business license withdrawn. If the

case constitutes a criminaloffence, criminal responsibility shall be

investigated in accordance withthe law.

Article 59

    A company which, when registering,  presentsfalse documents or

employs other deceptions and hasobtained registration of company shall be

ordered to remedy the situationand fined at least RMB 10,000 and no more

than RMB 100,000 by the companyregistration authority. If the case is

serious, the company'sregistration shall be canceled and the business

license withdrawn. If the caseconstitutes a criminal offence, criminal

responsibility shall beinvestigated in accordance with the law.

Article 60

    A promoter or shareholder who does not pay cash orproperty in kind or

does not transfer propertyrights, so making a false capital contribution,

shall be ordered to remedy hiswrongs and fined at least five per cent and

no more than ten per cent of thecapital which has been falsely

contributed.

    If the case constitutes a criminal offence, criminalresponsibility

shall be investigated inaccordance with the law.

Article 61

    A promoter or shareholder who illicitly withdraws hiscapital

contribution after theestablishment of the company shall be ordered to

correct his wrongs and fined atleast five per cent and no more than ten

per cent of the capitalcontribution illicitly withdrawn. If the case

constitutes a criminal offence,criminal responsibility shall be

investigated in accordance withthe law.

Article 62

    A company which, without justification,  fails tocommence business

more than six months afterestablishment or ceases to do business for more

than six consecutive monthsafter commencing business, shall have its

business license canceled by thecompany registration authority.

Article 63

    When a company changes its registered items, but failsto carry out a

change of registration asrequired by the provisions, the company

registration authority shallorder it to register such changes within a

time limit; Failure by thecompany to do so with in the time limit, it

shall be subject to a fine of atleast RMB 10,000 and no more than RMB

100,000.

Article 64

    In the event of a merger, division, reduction ofregistered capital or

liquidation, if the company doesnot send notice to or publish public

notices to its creditors inaccordance with the relevant provisions, it

shall be ordered to remedy thesituation and be subject to a fine of at

least RMB 10,000 and no morethan RMB 100,000 by the company registration

authority.

Article 65

    If a liquidation group does not file a liquidationreport with the

company registration authorityin accordance with the relevant provisions,

or the liquidation reportconceals important facts or contains significant

omissions, the wrongs shall beordered to be remedied by the company

registrationauthorities.

Article 66

    If a company does not apply for the cancellation ofregistration after

the liquidation of bankruptcy ordissolution has concluded, the business

license shall be revoked by thecompany registration authority.

Article 67

    If a company limited by shares does not publish publicnotices within

the fixed time limit after itsestablishment, change or cancellation has

been registered,  or thecontent of the public notices as published is not

in conformity with that of theregistration approved by the company

registration authorities, thewrongs shall be ordered to be remedied by

the company registrationauthorities. If the company refuses to remedy, it

shall be subject to a fine of atleast RMB 10,000 and no more than RMB

100,000. If the case is serious,the company's business license shall be

revoked.

Article 68

    A company which does not accept annual examination inaccordance with

the relevant provisions shall befined at least RMB 100,000 and no more

than RMB 10,000 and required toaccept the annual examination within a

fixed time limit by the companyregistration authority. If the company

does not yet accept the annualexamination at the expiration of the

specified period, its businesslicense shall be revoked. A company who

conceals real situations andpractices fraud shall be fined at least RMB

10,000 and no more than RMB100,000 by the company registration authority,

and shall be ordered to remedythe wrongs within a fixed time limit. If

the case is serious, thecompany's business license shall be revoked.

Article 69

    A company which forges, alters, lets out, lends orassigns its

business license shall be finedat least RMB 10,000 and no more than RMB

100,000 by the companyregistration authority. If the case is serious,

the business license shall berevoked. If the case constitutes a criminal

offence, criminal responsibilityshall be investigated in accordance with

the law.

Article 70

    A company which does not lay up its business licensein an

eye-catching place of thecompany's domicile or of the business premises

shall be ordered to remedy thesituation by the company registration

authority. If the companyrefuses to remedy, it shall be fined at least

RMB 100,000 and no more than RMB5,000.

Article 71

    A company which is engaged in business activitiesbeyond the business

scope as approved to registershall be ordered to remedy the wrongs by the

company registration authority,and it may also be subject to a fine of at

least RMB 10,000 and no morethan RMB 100,000. If the case is serious, the

company's business license shallbe revoked.

Article 72

    A company not lawfully registered as a limitedliability company or a

company limited by shares butfalsely making use of the title "limited

liability company" or "companylimited by shares", shall be ordered to

remedy the situations oroutlawed by the company registration authority,

and it may also be subject to afine of at least RMB 10,000 and no more

than RMB 10,000. If theviolation constitutes a criminal offence, criminal

responsibility shall beinvestigated in accordance with the law.

Article 73

    If the company registration authority registers acompany which does

not meet the registrationrequirements as provided, and the case is

serious, the personnel in chargeof the matter who have direct

responsibility and otherpersonnel with direct responsibility shall be

subject to administrativesanctions in accordance with the law. If a

higher level companyregistration authority orders a lower level company

registration authority toregister a company which does not meet the

registration requirements asprovided, or covers up an unlawful

registration,  thepersonnel in charge of the matter who have direct

responsibility and such otherpersons with direct responsibility shall be

subject to administrativesanctions in accordance with the law. If the

violation constitutes a criminaloffence, criminal responsibility shall be

investigated in accordance withthe law.

    Chapter 12 Supplementary Articles

Article 74

    The registration of a branch as subsidiary set up by aforeign company

within the territory of thePeople's Republic of China shall be conducted

in accordance with the relevantprovisions of the State Council.

Article 75

    These Regulations apply to the registration of thelimited liability

company with foreign investment.Where the laws or administrative

regulations on enterprises withforeign investment provide otherwise, the

provisions of such laws oradministrative regulations apply.

Article 76

    These Regulations come into effect as of July 1,1994.
